These Digital Marketing Services Terms describe general principles that may apply when MediaSine provides digital marketing, creative, website, or related professional services.
The specific terms of an engagement are established by the applicable proposal, quotation, statement of work, service agreement, or other written contract accepted by MediaSine and the client. Where a signed agreement contains different terms, the priority of the documents will be determined by that agreement and applicable law.
1. Services
MediaSine may provide services including SEO, digital marketing strategy, paid advertising management, social media marketing, branding, graphic design, content creation, photography, video production, web design, e-commerce development, analytics, and consultancy.
The services included in a particular engagement are limited to the scope agreed in writing.
2. Proposals and Scope of Work
A proposal or quotation should identify the relevant services, deliverables, fees, estimated timeline, and any important assumptions or exclusions.
Additional work, revisions, new requirements, or changes to the agreed scope may require a written variation and an adjustment to fees or delivery dates.
Unless expressly included in the agreed scope, services such as third-party subscriptions, advertising spend, premium assets, hosting, domain registration, and external vendor fees are not included in MediaSine’s professional service fees.
3. Client Responsibilities
The client is responsible for providing accurate information, timely approvals, required access, and materials reasonably necessary for the agreed work.
The client must ensure that materials and instructions supplied to MediaSine may lawfully be used for the project. The client is also responsible for reviewing deliverables and ensuring that factual, regulatory, and industry-specific claims are appropriate for its business.
Delays in access, approvals, information, or payment may affect project schedules and outcomes.
4. Fees and Payment
Fees, currency, payment milestones, invoicing arrangements, due dates, and applicable taxes should be specified in the proposal or service agreement.
MediaSine may accept invoice-based payments and online payments through available payment providers. Payment-provider fees, bank charges, currency conversion, and other transaction costs should be allocated as stated in the applicable agreement.
Any deposits, advance payments, recurring charges, late-payment consequences, and suspension rights must be stated in the relevant agreement and applied in accordance with applicable law.
5. Advertising Budgets and Third-Party Costs
Unless expressly included in the agreement, advertising spend paid to platforms such as Google or Meta is separate from MediaSine’s management fees.
The agreement should identify who owns and controls advertising accounts, who funds campaign spend, who approves budgets, and who is responsible for third-party subscriptions or purchases.
Third-party platforms may change their policies, prices, functionality, or account requirements.
6. SEO and Marketing Outcomes
Digital marketing results depend on many factors, including competition, budgets, website condition, search engine and advertising platform changes, client approvals, market conditions, and customer behavior.
Unless a specific outcome is expressly guaranteed in a valid written agreement, MediaSine does not guarantee particular search rankings, traffic levels, lead volumes, conversion rates, sales, or advertising returns.
Any forecasts, estimates, targets, or projections should be understood according to the assumptions and limitations stated when they are provided.
7. Content, Approvals, and Revisions
The agreement should establish the deliverables, number of revision rounds, approval process, publishing responsibilities, and any deadlines for feedback.
The client is responsible for reviewing and approving materials where approval is required before publication or campaign launch.
Additional revisions or requests beyond the agreed scope may be subject to additional fees and scheduling adjustments.
8. Intellectual Property
Ownership and permitted use of deliverables must be specified in the applicable agreement.
Unless otherwise agreed in writing, pre-existing materials, reusable methods, templates, internal tools, third-party assets, and licensed resources remain subject to their existing ownership and licence terms.
Any transfer of ownership or grant of usage rights may be conditional on payment in full, where expressly stated in the applicable agreement and permitted by law.
9. Confidentiality and Data Protection
Each party should handle confidential information received from the other party responsibly and use it only for appropriate purposes connected with the engagement, subject to applicable law and the relevant agreement.
Where MediaSine processes personal information on behalf of a client, the parties should determine whether a separate data processing agreement or additional contractual safeguards are required.
10. Third-Party Platforms and Access
Clients may need to provide access to websites, analytics accounts, advertising platforms, social media profiles, or other systems.
The parties should agree on access permissions, account ownership, security practices, and responsibilities for maintaining credentials. Clients should retain appropriate administrative control over their own business accounts unless otherwise agreed.
MediaSine is not responsible for decisions or disruptions caused by third-party providers outside its reasonable control, subject to applicable law and the terms of the service agreement.
11. Suspension and Termination
Project suspension, termination, notice periods, outstanding fees, handover obligations, and treatment of work in progress must be governed by the applicable agreement.
Any cancellation charges, non-refundable payments, or minimum engagement periods should be expressly disclosed and reviewed for enforceability under applicable law.
12. Liability
The allocation of liability, warranties, remedies, and any liability caps should be stated in the applicable agreement.
Nothing in these general terms excludes liability or restricts rights where such exclusion or restriction is prohibited by applicable law.
13. Governing Law
The governing law, dispute-resolution procedure, and competent forum for a particular engagement should be stated in the signed agreement.
Where Lebanon is selected as the governing jurisdiction, that choice remains subject to mandatory laws and any applicable rules governing cross-border contracts.
